These Terms of Use (“Terms”) govern your access to and use of the Naomi communication intelligence platform (“Service”) operated by Helas Camus LLC (“we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
Eligibility
You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.
Your account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at naomi@trynaomi.ai if you become aware of unauthorized access.
Acceptable use
You agree to use the Service only for lawful purposes. You will not:
- Upload transcripts containing content that violates applicable laws.
- Attempt to reverse-engineer, decompile, or extract the AI models or assessment algorithms.
- Use automated tools to scrape, harvest, or bulk-download data from the Service.
- Impersonate another person or misrepresent your affiliation with any entity.
- Interfere with or disrupt the Service or its infrastructure.
Your content
You retain ownership of all transcripts, recordings, and other content you submit to the Service (“Your Content”). By submitting content, you grant us a limited license to process, store, and analyze it solely for the purpose of providing the Service to you. We do not claim ownership of Your Content and will not use it for purposes unrelated to your account.
You represent that you have the right to submit any content you provide, including that you have obtained any necessary consents from participants in recorded conversations where required by applicable law.
Recording consent
Many jurisdictions require consent from some or all participants before recording a conversation. You are solely responsible for complying with all applicable recording consent laws in your jurisdiction. Naomi does not record meetings. Naomi processes transcripts that you provide or that are retrieved through integrations you have authorized.
AI-generated assessments
Communication assessments, coaching insights, entity extractions, and other outputs generated by the Service are produced by AI models and are provided for informational purposes only. They do not constitute professional advice (legal, medical, financial, or otherwise). You should exercise your own judgment when acting on any assessment output.
SMS / text messaging
If you opt in, Naomi sends recurring automated coaching and account text messages to the mobile number on your account. Message frequency varies. Message and data rates may apply. Consent to receive texts is not a condition of purchase or use of Naomi. Reply STOP to cancel at any time, or HELP for help. We deliver messages through a third-party messaging provider, and carriers are not liable for delayed or undelivered messages. Third-party integrations
The Service may integrate with third-party platforms (e.g., Zoom). Your use of those integrations is also subject to the third party’s terms and policies. We are not responsible for the availability or functionality of third-party services.
When you connect a third-party account, you authorize us to access data as described in our Privacy Policy. You may revoke access at any time through your account settings.
Availability and modifications
The Service is currently in private beta. We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We do not guarantee uptime or uninterrupted access during the beta period.
We reserve the right to update these Terms. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Limitation of liability
To the maximum extent permitted by applicable law, Helas Camus LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, revenue, or business opportunities.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Indemnification
You agree to indemnify and hold harmless Helas Camus LLC from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.
Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in New York County, New York.
Termination
We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (limitation of liability, indemnification, governing law) will remain in effect.
